    4. Prepare Corporate Bylaws:

    6. Hold an Organizational Meeting:

    LLC, PLLC, PA

    To form an LLC in Florida, you'll need to file "Articles of Organization" with the Florida Department of State through SunBiz. This involves choosing a name for your LLC, appointing a registered agent, Filing Articles of Organization, creating an operating agreement and obtain an EIN through the IRS.

    1. Choose a Business Name: Select a name that is distinguishable from other businesses in Florida and ends with "Limited Liability Company," "LLC," or similar terms.

    2. Designate a Registered Agent: A registered agent is a person or entity in Florida who will receive official legal notices and documents on behalf of your LLC.

    3. File Articles of Organization: This document officially creates your LLC with the state. You can file it online, by mail, or in person.

    4. Create an Operating Agreement: This document outlines the rules and procedures for your LLC, including ownership, management, and financial matters.

    5. Obtain an EIN: You'll need an Employer Identification Number (EIN) from the IRS to open a business bank account and for tax purposes.

    6. Meet Additional Requirements: Depending on your industry, you may need to obtain additional licenses and permits.

    S Corporation Designation

    To establish an S Corporation (S Corp) in Florida, a business must first form either an LLC or a C corporation, then elect S Corp status with the IRS. This involves filing IRS Form 2553, Articles of Incorporation (for a corporation), and meeting specific IRS requirements.

    In addition to the above requirements in forming a C Corp or LLC, the following must be completed:

    1. Elect S Corp Status:

    File IRS Form 2553, Election by a Small Business Corporation, to elect S Corp tax status.

    2. Open a Business Bank Account:

    Separate business finances from personal finances.

    3. Obtain Business Licenses:

    Apply for any necessary business licenses from the appropriate authorities.

    4. Fulfill Ongoing Requirements:

    Maintain compliance with S Corp requirements and file necessary tax returns.

    IRS Requirements:

    To qualify for S Corp status, your corporation must be domestic, have no more than 100 shareholders, have only one class of stock, and meet other IRS requirements.

    State Taxes:

    Florida does not generally require S Corporations to file tax returns with the state, but they may be subject to sales tax and unemployment tax.
